RTL Group ("the Company")

RTL Group has today made application to the UK Listing Authority for the
admission of 2,885,586 ordinary shares in the Company to the Official List and to the London Stock Exchange for these securities to be admitted to trading. This application is being made pursuant to the shares being issued to Pearson Group in return for the transfer of Pearson Group's interests in Antena 3 Television, SA and DTS Distribuidora de Television Digital, S.A.

The extraordinary General Meeting of RTL Group to approve the contribution has been convened for 4 September.
