Acquisition of Havas Intermédiation

After the agreement in principal of CLT-UFA's Board of Directors on September 10, which gave management a mandate to conclude the purchase of Havas Intermédiation, the Board of Directors of Havas today also approved the transaction, which is still subject to the approval of the European Commission.

Havas Intermédiation is a French company with subsidiaries across Europe, most of them trading under the IP (Information et Publicité) name and selling advertising for CLT-UFA group radio stations and television channels.

CLT-UFA will acquire 100 % of Havas Intermédiation, not including RCI and IMM (advertising sales for inflight magazines), OSP (advertising sales for official journals), software company Peaktime and interests in Adways and Senger. The purchase price is FRF 860 million, for assets including a consolidated cash surplus of FRF 200 million. The operation brings a further element of great strategic importance to the group's added-value chain.

The CEOs of CLT-UFA look forward to establishing closer ties between stations and sales structures. "IP sales teams are very successful and have been serving our stations for years," explains Rémy Sautter. "By linking them more closely, we improve the profitability of our ventures." Rolf Schmidt-Holtz adds, "Alongside our moves into new markets, controlling advertising sales is a key to success. The acquisition of Havas Intermédiation is a milestone for CLT-UFA."

CLT-UFA will be associated with management by January 1, 1998 before taking over full responsibility for the new businesses at the end of March. The move will have no impact on sales structures and advertisers will keep their current consultants within IP. "The sales forces have proven their competence," the CEOs state, "so why change a winning team?"
